These Additional Terms govern your access to or use of Tilts and the Tilt Marketplace provided by Agora Indexing Technologies LLC ("Agora," "we," "us," or "our"), including any thematic baskets, constituent data, scores, weights, performance data, descriptions, research, and related content made available through the Tilt Marketplace (collectively, "Tilt Content"). These terms supplement Agora's Terms of Service (tilt.io/legal/terms-of-service). In the event of conflict, these Additional Terms govern for Tilt Content and the Tilt Marketplace.
What a Tilt Is. A "Tilt" is a thematic investment basket authored by a user ("Creator") using the Tilt platform. Each Tilt expresses a Creator's thematic investment view through a defined set of securities, weights, and selection criteria, together with any related descriptions, research, and methodology documentation the Creator publishes. A Tilt is a Creator-authored rulebook — it reflects the Creator's research, selections, and point-in-view as of the date indicated and is constructed using the Creator's chosen criteria.
What a Tilt Is Not. A Tilt is not a financial index, financial benchmark, IOSCO-compliant product, investment fund, managed account, model portfolio, or investment product. A Tilt is not administered by Tilt Indices LLC and is not subject to the index governance framework described in the Additional Terms of Use for Indices (tilt.io/legal/additional-terms-of-use-for-indices). A Tilt is not an investment recommendation, a solicitation to buy or sell any security, or an offer of advisory or portfolio management services.
The Tilt Marketplace. The "Tilt Marketplace" is the portion of our platform where Creators publish Tilts and users may browse, view, and interact with them. The Tilt Marketplace operates as a content marketplace for investment methodologies — we host and distribute Creator-authored Tilts, but we do not curate, endorse, or recommend particular Tilts to particular users. Tilts are not sorted, filtered, or presented to you based on your investment objectives, risk tolerance, financial situation, or any other personal characteristic. Search and display ordering are based on objective criteria such as publication date, popularity, and category.
Distinction from Index Data. Products designated as indices and administered by Tilt Indices LLC under IOSCO Principles for Financial Benchmarks are governed by the Additional Terms of Use for Indices, not these terms. If a Tilt is adopted by Tilt Indices LLC as a published index, it exits these Additional Terms and becomes subject to the index governance framework. These Additional Terms govern only Tilts — Creator-authored thematic baskets that are not administered as regulated financial benchmarks.
Tilt Content is provided for general informational and research purposes only as general-circulation content of a regular and ordinary character. Nothing in any Tilt or Tilt Content constitutes investment advice, a recommendation to buy or sell any security, a solicitation of any investment decision, or an offer to provide advisory or portfolio management services. Tilt Content is not tailored to any individual user's financial situation, investment objectives, risk tolerance, or tax circumstances.
A Creator's publication of a Tilt on the Tilt Marketplace is an act of publishing the Creator's research and thematic view. It is not a recommendation that any particular user adopt, invest in, or trade based on that Tilt. The Creator does not know your identity, financial circumstances, or investment objectives, and the Creator's Tilt is not adapted to your specific portfolio or particular needs.
Neither Agora nor any Creator is an investment adviser, broker-dealer, or fiduciary with respect to your use of the Tilt Marketplace or any Tilt Content. No advisory, fiduciary, or other professional relationship is created between you and Agora or between you and any Creator by your use of the Tilt Marketplace.
You should conduct your own independent research and consult a qualified financial adviser before making any investment decision. You are solely responsible for evaluating whether any Tilt or Tilt Content is appropriate for your circumstances.
Creator Submissions. Each Creator submits a thematic concept, investment thesis, and selection criteria for their Tilt. Agora's methodology engine translates the Creator's submitted criteria into a structured thematic basket, including constituent selection, weighting, and scoring. The Creator's contribution is the thematic view and the criteria expressed in the Creator's submission; Agora provides the computational tools that produce the resulting basket. Creators may not submit criteria that are designed to target, or that are tailored to, a particular user's financial situation, investment objectives, or personal characteristics.
Impersonal Publication. A Creator's Tilt must be impersonal and of general application. A Creator may not create, customize, or modify a Tilt for a particular user or group of users based on their investment objectives, risk tolerance, financial situation, or other personal characteristics. Each Tilt must be made available on the same terms to all users of the Tilt Marketplace.
No Personalized Advice. Creators shall not, through the Tilt Marketplace, any communication feature on the platform, or any third-party channel:
(a) provide investment advice, trading recommendations, or suitability determinations to any user, including advice about whether a particular Tilt is appropriate for that user's circumstances;
(b) solicit or collect information regarding a user's investment objectives, risk tolerance, net worth, time horizon, or other personal financial information for the purpose of providing personalized advice or guiding the user to a particular Tilt;
(c) recommend that a user execute trades based on a Tilt without independent evaluation, or encourage users to adopt automatic or unconditional execution of Tilt-based trades; or
(d) make representations regarding future performance, guaranteed returns, or the suitability of any Tilt for any particular investment objective.
Creator Representations. By creating, submitting, or publishing a Tilt, each Creator represents and warrants that: (a) the Creator has all rights necessary to submit the Tilt and grant the licenses described in Section 5; (b) the Tilt does not infringe any third party's intellectual property rights or violate any applicable law; (c) the Creator will comply with the conduct requirements in this Section 3; (d) the Creator will not use any communication feature on the platform or any third-party channel in a manner that would cause Agora or the Creator to be characterized as providing personalized investment advice; and (e) the Creator's submission, and any content the Creator publishes in connection with the Tilt, complies with all applicable laws, rules, and regulations, including applicable securities laws and regulations.
Monitoring and Enforcement. Agora reserves the right to monitor Creator communications and Tilt Content for compliance with these requirements and to remove, suspend, or restrict any Tilt or Creator account that violates these terms.
Third-Party Content. Creator Tilts, including each Creator's thematic concept, thesis, selection criteria, research, and any related descriptions or commentary, are third-party content created by the applicable Creator, not by Agora. Agora provides the computational tools and platform infrastructure through which Creators submit and publish their Tilts. Agora does not author, adopt, endorse, or verify the thematic views, investment merit, or accuracy of any Creator's Tilt. Agora may, but is not obligated to, review, monitor, or screen Creator Tilts or Creator communications for quality, accuracy, legality, or compliance with these terms. Any decision by Agora to remove, restrict, or moderate a Creator's Tilt is made in good faith and does not create a duty to monitor or review other Tilts.
Browsing and Viewing. You may browse, search, and view Tilts and Tilt Content on the Tilt Marketplace for informational and research purposes.
Adopting a Tilt. If you choose to adopt a Tilt (apply its methodology or constituent list to your own portfolio context), you acknowledge that you are making an independent investment decision. Adopting a Tilt does not constitute the receipt of investment advice from Agora or the Creator. You are responsible for evaluating whether the Tilt's methodology, constituents, and weights are appropriate for your circumstances before adopting it.
Remixing a Tilt. You may create a derivative variant of a published Tilt by modifying its constituents, weights, or other parameters ("Remix"). A Remix is your own work and reflects your own investment judgment. The original Creator and Agora bear no responsibility for the modifications you make or the investment outcomes of any Remix.
Co-Signing a Tilt. You may indicate your endorsement or ratification of a Tilt ("Co-sign"). Co-signing is an expression of your own view and does not constitute investment advice from Agora or the Creator.
Methodology Licensing. If you adopt a Tilt for use in connection with your brokerage account or any other investment activity, you may be required to hold a valid methodology license for that Tilt, as described in our subscription terms. Any methodology licensing fee is compensation for your access to the Creator's published methodology, constituent data, weights, and rebalance signals — it is not compensation for investment advice, portfolio management, or any advisory service. The methodology exists independently of your portfolio and is available to all users on the same terms.
Trade Execution. If you use Tilt Content in connection with trade execution through the Tilt Chat service, the Additional Terms of Use for Tilt Chat (tilt.io/legal/additional-terms-of-use-for-tilt-chat) govern all aspects of trade execution, including the confirm-before-execute requirement, the prohibition on automated trading, and the user-directed posture. These Tilt Terms do not independently authorize any trade execution functionality.
Creator Ownership. As between a Creator and Agora, the Creator retains ownership of the original thematic concept, research, and methodology that the Creator authors in a Tilt, subject to the license granted below and consistent with our Terms of Service.
Creator License to Agora. By creating, submitting, or publishing a Tilt, each Creator grants Agora a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, reproduce, score, calculate, display, distribute, and otherwise use the Tilt and the Tilt Content in connection with the Tilt Marketplace and Agora's services, and to authorize Agora's distribution partners and index licensees to display and distribute the Tilt Content in connection with their own services.
Agora Ownership. Agora owns and retains all right, title, and interest in and to: (a) the "Tilt" and "Tilts" names and marks; (b) the Tilt Marketplace platform, including its technology, scoring algorithms, calculation engines, and compilation and arrangement of Tilt Content; (c) any index-style values, performance data, and constituent data that Agora computes for a Tilt; and (d) all intellectual property rights therein. Except for the limited rights expressly granted in Sections 4 and 6, no rights are granted to you by implication, estoppel, or otherwise.
Creator Revenue. Where applicable, Creators may receive a share of revenue generated from subscriptions, methodology licensing fees, or other monetization of their Tilts, as set forth in separate Creator agreements. Any revenue share paid to a Creator constitutes a royalty for the licensing and distribution of the Creator's published methodology. It is not compensation paid by Agora to the Creator for the provision of investment advice.
Limited License. Subject to these Additional Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view Tilt Content for your own personal, non-commercial, informational use.
Restrictions. You shall not, and shall not permit others to:
(a) reproduce, redistribute, republish, resell, license, or otherwise make Tilt Content available to any third party, except as expressly authorized by us in writing;
(b) scrape, harvest, bulk-download, export, or systematically extract Tilt Content, including constituent lists, weights, scores, and values, whether manually or by automated means;
(c) use Tilt Content to create, calculate, verify, correct, or support any index, benchmark, model portfolio, fund, exchange-traded product, or other financial product, or to create any derivative data, index, or work, without our prior written consent;
(d) use Tilt Content for any commercial purpose, or use the "Tilt" or "Tilts" marks, without our prior written consent; or
(e) remove, obscure, or alter any proprietary, trademark, copyright, attribution, or disclaimer notice.
Authorized Distribution. We may authorize distribution partners and index licensees to display and distribute Tilt Content under separate written agreements. Any third party displaying Tilt Content must be authorized by us; absent our written authorization, the reproduction, display, or distribution of Tilt Content by a third party is not permitted.
Tilt Content may incorporate or be derived from data provided by third parties, including securities identifiers, prices, and reference data. Such data remains subject to those providers' rights and terms and may be delayed. No license to any third-party data is granted to you beyond viewing the Tilt Content, and you may not extract, redistribute, or commercialize such third-party data. Agora does not guarantee the accuracy, completeness, or timeliness of third-party data.
No Warranty. TILT CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, ORIGINALITY, TIMELINESS, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT TILT CONTENT IS ERROR-FREE OR UNINTERRUPTED, OR THAT ANY TILT IS SUITABLE FOR ANY PURPOSE.
Hypothetical and Back-Tested Performance. All levels, weights, and constituents provided for dates prior to a Tilt's launch date are back-tested, representing the retroactive application of the Creator's methodology. Back-tested performance is hypothetical, not actual performance — no investment tracking the Tilt was possible during the back-test period, and the methodology may have been designed with the benefit of hindsight. There are frequently material differences between back-tested and actual results. Back-tested historical values may change over time as underlying input data is revised.
Performance Limitations. Tilt performance data does not reflect the deduction of fees, expenses, or transaction costs, and does not reflect the impact of taxes. A Tilt is not available for direct investment. Actual investment results would differ from Tilt performance due to transaction costs, fees, timing differences, and other factors. Past performance — whether actual or back-tested — is not an indication or guarantee of future performance.
Creator Conflicts. A Creator may hold positions in securities included in the Creator's Tilt. Agora does not monitor or verify Creators' personal trading activity. You should assume that a Creator may have a financial interest in the securities included in the Creator's Tilt.
For purposes of these Additional Terms, "Agora Parties" means Agora and its affiliates, and each such entity's respective officers, directors, partners, members, employees, agents, representatives, successors, and assigns.
To the maximum extent permitted by law, the Agora Parties shall not be liable for any losses or damages arising from: (a) investment decisions made using or in reliance on any Tilt or Tilt Content; (b) any inaccuracy, error, or omission in Tilt Content, including any Creator-authored research, methodology, or constituent data; (c) any change to, correction of, or discontinuation of any Tilt; (d) any act or omission of any Creator, including any Creator communication or conduct that violates these terms; or (e) any delay, interruption, or unavailability of the Tilt Marketplace.
The Agora Parties' total liability for all claims arising under these Additional Terms shall not exceed the amount you paid to Agora, if any, during the twelve-month period preceding the event giving rise to the claim. In no event shall the Agora Parties be liable for any indirect, special, incidental, consequential, or exemplary damages, even if any such party might have anticipated, or was advised or notified of, the possibility of such damages.
Indemnification. You agree to defend, indemnify, and hold the Agora Parties harmless from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Tilt Content, your breach of these Additional Terms, or your investment decisions.
Agora reserves the right to modify, suspend, correct, restate, or discontinue any Tilt, the Tilt Marketplace, the Tilt Content, or these Additional Terms at any time. We will use commercially reasonable efforts to provide notice of material changes. Your continued use after changes constitutes acceptance.
Defined terms not defined here have the meanings given in the Terms of Service (tilt.io/legal/terms-of-service). If you also access Agora index data, the Additional Terms of Use for Indices (tilt.io/legal/additional-terms-of-use-for-indices) also apply. If you access Backchannel news analytics content, the Additional Terms of Use for Backchannel News Analytics (tilt.io/legal/additional-terms-of-use-for-backchannel) also apply. If you use the Tilt Chat service, the Additional Terms of Use for Tilt Chat (tilt.io/legal/additional-terms-of-use-for-tilt-chat) also apply. These Additional Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its principles of conflicts of law.
