These Additional Terms govern your access to or use of Agora Intelligence Inc. (d/b/a Tilt) ("Agora") Backchannel news analytics service and any content, data, or output delivered through it ("Backchannel Content"). These terms supplement Agora's Terms of Service. In the event of conflict, these Additional Terms govern for Backchannel Content.
Computational Processing. Backchannel Content is produced through Agora's proprietary computational processing pipeline, which applies structured analytical methods — including event signal extraction, algorithmic exposure scoring, and deterministic bridge mapping — to news and data sourced from third-party providers. Backchannel Content reflects systematic analysis as of the time of processing and does not constitute independent journalism, editorial reporting, or original research.
Underlying Sources. Backchannel Content is derived from news and data provided by third-party publishers. The underlying source content is not generated or modified by Agora. Agora's processing applies structured scoring and classification to the underlying source material to produce exposure analytics and related outputs. Views and information contained in underlying sources are those of their original publishers, not Agora.
Accuracy and Reliability. Agora uses commercially reasonable efforts to ensure the quality of its computational processing methods. However, Agora does not guarantee the accuracy, completeness, timeliness, or reliability of Backchannel Content. Computational processing methods, including scoring and classification algorithms, may produce inaccurate, incomplete, or misleading results. Agora does not guarantee the availability, accuracy, completeness, or timeliness of any specific content within Backchannel.
Not Real-Time. There may be a delay between events and their appearance in Backchannel Content. Do not rely on Backchannel Content as a source of real-time information.
Backchannel Content is provided for informational purposes only as general-circulation information of a regular and ordinary character. Nothing in Backchannel Content constitutes investment advice, a recommendation to buy or sell any security, a solicitation of any investment decision, or an offer to provide advisory or portfolio management services.
Backchannel Content is not tailored to any individual investor's financial situation, investment objectives, risk tolerance, or tax circumstances. Agora does not provide personalized investment advice through the Backchannel service or through any licensed platform that distributes Backchannel Content.
Agora is not an investment adviser, broker-dealer, or fiduciary. No advisory, fiduciary, or other professional relationship is created between Agora and any user of Backchannel Content, whether the user accesses Backchannel Content directly or through a licensed platform.
You should conduct your own independent research and consult a qualified financial advisor before making any investment decision.
Backchannel Content may include portfolio exposure scores and related analytics produced by scoring aggregate portfolio composition data — consisting of ticker symbols, quantities, weights, and asset class classifications — against identified news events. This portfolio composition data does not include, and Agora does not receive, any personally identifiable information such as investor names, account numbers, email addresses, or similar identifiers. Exposure scores are statistical measures and do not constitute investment recommendations.
For purposes of these Additional Terms, "Agora Parties" means Agora and its affiliates, and each such entity's respective officers, directors, partners, members, employees, agents, representatives, successors, and assigns.
To the maximum extent permitted by law, Agora and the Agora Parties shall not be liable for any losses or damages arising from: (a) investment decisions made in reliance on Backchannel Content; (b) any inaccuracy, error, or omission in Backchannel Content or its underlying sources; (c) any delay in delivery or updating of Backchannel Content; or (d) any service interruption or unavailability of the Backchannel service.
Agora may make Backchannel Content available through licensed third-party platforms ("Distribution Partners"). Distribution Partners must: (a) clearly identify Backchannel Content as sourced from or powered by Agora; (b) include a disclosure visible to end users that the content is computationally processed and provided for informational purposes only; (c) not represent to end users that Backchannel Content constitutes investment advice or has been independently verified by the Distribution Partner; and (d) not modify, repackage, or re-attribute Backchannel Content in a manner that obscures its source or the nature of its computational processing.
If you are accessing Backchannel Content through a Distribution Partner's platform, refer to that platform's own terms and disclosures for additional information.
All rights in Backchannel Content, including the computational processing methods, scoring algorithms, bridge mapping calibration, and analytical methodologies used to produce it, are owned exclusively by Agora or its licensors. Underlying source content remains the property of its respective publishers. Your use of Backchannel Content is limited to the purposes permitted by your agreement with Agora or the applicable Distribution Partner.
Defined terms not defined here have the meanings given in the Terms of Service. If you also access Agora index data, the Additional Terms of Use for Indices also apply. These Additional Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its principles of conflicts of law.
