These Additional Terms govern your access to or use of the Tilt Chat interactive interface and related tools provided by Agora Indexing Technologies LLC (“Agora”), including any content, data, analytics, or output delivered through the Tilt Chat service (“Tilt Chat Content”). These terms supplement Agora’s Terms of Service (tilt.io/legal/terms-of-service). In the event of conflict, these Additional Terms govern for Tilt Chat Content and the Tilt Chat service.
Two-Part Service Structure. The Tilt Chat service operates in two distinct modes:
(a) Editorial Commentary (Step 1). When you interact with Tilt Chat without connecting a brokerage account or providing personal financial data, Tilt Chat produces general-circulation editorial commentary. This commentary is generated through Agora’s proprietary computational processing pipeline, which translates natural language queries into structured inputs for Agora’s deterministic methodology engine to produce investment baskets, thematic exposures, scoring analytics, and related analytical outputs. Step 1 outputs are prompt-determined and impersonal: the same query, processed through the same methodology parameters, produces the same output regardless of who submits it. Step 1 outputs do not constitute personalized investment advice. Tilt Chat will not accept or process prompts that include personal financial data, risk tolerance, investment objectives, time horizon, net worth, or other investor-profile information in Step 1. Such prompts will be blocked or redirected.
(b) User-Directed Software Tool (Step 2). When you connect a brokerage account or provide portfolio-specific data, Tilt Chat transitions to a user-directed software tool. In Step 2, you use Agora’s analytical tools — including portfolio decomposition, drift analysis, exposure scoring, and rebalancing utilities — to apply methodology outputs against your own holdings. All analytical operations in Step 2 are initiated and directed by you. Agora does not determine which actions to take; you select, configure, and confirm every operation. In Step 2, Agora does not solicit or collect information regarding your investment objectives, risk tolerance, or financial goals for the purpose of generating recommendations tailored to your personal circumstances.
Boundary Between Step 1 and Step 2. The transition from Step 1 to Step 2 occurs when user-specific financial data enters the session, such as when you connect a brokerage account or input portfolio holdings. Tilt Chat will clearly identify when this transition occurs and will provide a user-facing explanation that Step 1 outputs are impersonal analytical content and Step 2 is a user-directed analytical tool.
Tilt Chat Content produced in Step 1 is provided for informational purposes only as general-circulation information of a regular and ordinary character. Nothing in Tilt Chat Content constitutes investment advice, a recommendation to buy or sell any security, a solicitation of any investment decision, or an offer to provide advisory or portfolio management services.
Tilt Chat Content is not tailored to any individual investor’s financial situation, investment objectives, risk tolerance, or tax circumstances. Agora does not solicit or collect information regarding your risk tolerance, investment goals, time horizon, or financial situation for the purpose of providing personalized investment advice.
Tools and analytics made available in Step 2 are software utilities that you operate at your own direction. The outputs of these tools — including decomposition reports, drift calculations, exposure analytics, and rebalancing previews — are mathematical computations applied to data you provide. They do not constitute investment recommendations. Where these tools present evaluative characterizations (such as “overweight” or “concentrated”), such terms describe a quantitative comparison to user-defined targets and do not express a judgment about what action you should take.
Agora is not an investment adviser, broker-dealer, or fiduciary. No advisory, fiduciary, or other professional relationship is created between Agora and any user of the Tilt Chat service.
You should conduct your own independent research and consult a qualified financial advisor before making any investment decision.
Read Access Only. When you connect a brokerage account to Tilt Chat, you authorize Agora to access your account data in read-only mode for the purpose of enabling Step 2 analytical tools. Agora accesses portfolio holdings, positions, and related account data solely to display this information to you and to enable the analytical tools you direct.
No Custody. Agora does not hold, control, or have custody of your funds or securities at any time. Your assets remain with your brokerage. Agora does not have the ability to withdraw, transfer, or otherwise move funds or securities from your brokerage account.
User Authorization. You represent that you are authorized to connect any brokerage account you link to Tilt Chat and that doing so does not violate any agreement between you and your brokerage. You may disconnect your brokerage account at any time through your account settings.
Third-Party Brokerage Services. Brokerage account connectivity is facilitated through third-party service providers. Agora does not control and is not responsible for the availability, security, or performance of any third-party connectivity service or brokerage platform. Your use of any brokerage account is governed by your agreement with your brokerage.
No Discretionary Authority. Agora does not exercise investment discretion over your brokerage account. Agora does not and will not place trades, execute orders, or take any action in your brokerage account without your explicit, affirmative confirmation for each individual transaction.
Confirm-Before-Execute. All trade orders initiated through Tilt Chat require your review and explicit confirmation before submission to your brokerage. Tilt Chat presents order details — including security, quantity, order type, and estimated value — for your review prior to execution. No order is submitted to your brokerage until you affirmatively confirm the transaction.
Multiple Substantive Decisions Before Execution. The Tilt Chat product architecture requires at least two substantive user decisions — not merely confirmations — between receiving an analytical output (such as a Step 1 basket) and executing a trade. You must make independent decisions at each stage, including selecting or modifying the output, reviewing the proposed orders against your own holdings, and confirming the final transaction.
User Responsibility. You are solely responsible for all investment decisions made using Tilt Chat, including any trade orders you confirm for execution. You acknowledge that you have independently evaluated each transaction before confirming it and that Agora bears no responsibility for the investment merits or suitability of any trade you execute.
No Automated or Discretionary Trading. Tilt Chat does not support automated trading, standing instructions, conditional orders, recurring trades, event-driven execution, or any form of delegated or discretionary order execution. Each trade requires a separate, contemporaneous confirmation from you. Tilt Chat will not execute trades on a predetermined schedule, in response to market conditions, or based on algorithmic triggers without your explicit per-transaction confirmation.
No Transaction-Based Compensation. Agora does not receive any fee, commission, or other compensation that is based on the volume, value, or frequency of trade orders you execute through Tilt Chat. Subscription fees for the Tilt Chat service are charged regardless of whether or how often you use the trade execution functionality.
Software Interface, Not Advisor. The Tilt Chat interface is a software tool that translates your natural language inputs into structured queries for Agora’s computational processing systems. The chat interface is not an investment adviser, financial planner, or fiduciary. It does not form opinions, exercise judgment about the suitability of investments for you, or make recommendations based on your personal circumstances.
Prompt-Determined Output. In Step 1, the chat interface translates your query into parameters for Agora’s deterministic methodology engine. The resulting output — including investment baskets, thematic exposures, and scoring analytics — is determined by the content of your prompt and the state of the methodology engine at the time of processing. The output is impersonal: it is not influenced by your identity, financial situation, or investment history.
Limitations. The chat interface may produce inaccurate, incomplete, or misleading outputs. Natural language processing may misinterpret your query or translate it into methodology parameters that do not reflect your intent. You should review all outputs critically and verify any information before acting on it. The chat interface does not have access to real-time market data unless explicitly stated, and any market data displayed may be delayed.
Deterministic Processing. Agora’s methodology engine is a deterministic scoring and basket-construction system. Given identical structured inputs, the methodology engine produces identical outputs. The natural language translation layer that converts your queries into methodology parameters may introduce variability in how queries are interpreted, but the underlying methodology engine operates deterministically.
Methodology Transparency. Agora makes information regarding the methodology employed, and any material assumptions or limitations used, available to users to the extent possible while protecting intellectual property. Additional information about Agora’s methodology is available at tilt.io/governance.
Methodology Changes. Agora reserves the right to modify, update, or discontinue its methodology, scoring models, data sources, and analytical methods at any time. Changes to methodology may affect the outputs produced by Tilt Chat. Agora will use commercially reasonable efforts to provide notice of material methodology changes.
Third-Party Data. Tilt Chat outputs may incorporate data from third-party providers, including market data, pricing, and reference data. Agora does not guarantee the accuracy, completeness, or timeliness of third-party data.
For purposes of these Additional Terms, “Agora Parties” means Agora and its affiliates, and each such entity’s respective officers, directors, partners, members, employees, agents, representatives, successors, and assigns.
To the maximum extent permitted by law, Agora and the Agora Parties shall not be liable for any losses or damages arising from: (a) investment decisions made using or in reliance on Tilt Chat Content or Tilt Chat tools; (b) any trade order you confirm and execute through Tilt Chat; (c) any inaccuracy, error, or omission in Tilt Chat Content, including outputs of the chat interface or analytical tools; (d) any misinterpretation of your natural language input by the chat interface; (e) any delay, interruption, or unavailability of the Tilt Chat service or any connected brokerage account; or (f) any unauthorized access to your brokerage account that does not result from Agora’s gross negligence or willful misconduct.
The Agora Parties’ total liability for all claims arising under these Additional Terms shall not exceed the amount you paid to Agora, if any, during the twelve-month period preceding the event giving rise to the claim. In no event shall the Agora Parties be liable for any indirect, special, incidental, consequential, or exemplary damages, even if any such party might have anticipated, or was advised or notified of, the possibility of such damages.
All rights in Tilt Chat Content, the Tilt Chat service, and the underlying technology — including the methodology engine, scoring algorithms, basket-construction logic, natural language processing systems, analytical tools, and computational methods — are owned exclusively by Agora or its licensors. You receive no proprietary rights in any Tilt Chat Content or in any component of the Tilt Chat service. Your use of Tilt Chat Content is limited to the purposes permitted by your agreement with Agora.
Defined terms not defined here have the meanings given in the Terms of Service (tilt.io/legal/terms-of-service). If you also access Agora index data, the Additional Terms of Use for Indices (tilt.io/legal/additional-terms-of-use-for-indices) also apply. If you access Backchannel news analytics content, the Additional Terms of Use for Backchannel News Analytics (tilt.io/legal/additional-terms-of-use-for-backchannel) also apply. These Additional Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its principles of conflicts of law.
