Start a Tilt Challenge Official Rules

NO PURCHASE, PAYMENT, DEPOSIT, ADVISORY ACCOUNT, OR TRADING ACTIVITY IS NECESSARY TO ENTER OR RECEIVE THE AWARD. A PURCHASE OR PAYMENT WILL NOT AFFECT JUDGING OR THE AWARD DECISION. THIS IS A SKILL-BASED CHALLENGE; THE WINNER IS CHOSEN ON MERIT. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

These Official Rules (the “Rules”) govern the Start a Tilt Challenge (the “Challenge”) sponsored by Agora Indexing Technologies LLC (“Sponsor,” “we,” “us,” or “our”), an affiliate of Agora Intelligence Inc. (d/b/a Tilt) (“Tilt”). By entering the Challenge, you agree to these Rules, Tilt’s Terms of Service, Privacy Notice, and Disclaimer. These Rules are an additional written agreement between you and Sponsor and, for purposes of the Terms of Service, also between you and Tilt. In the event of any conflict between these Rules and the Terms of Service, Privacy Notice, Disclaimer, or any additional terms, these Rules control with respect to the Challenge.

1. Challenge Overview

The Challenge asks eligible entrants to submit an original written perspective on the theme identified in Section 6 (the “Theme”) (a “Tilt”). A Tilt is a sharp, original take on where something is going, and why it matters. No investing expertise or finance background is required. Tilt’s engine converts each eligible entry into a paper basket. Eligible entries are evaluated over a 2-month evaluation window using a combination of thesis quality, entry timing, and Contribution Score, as described below.

The Challenge is a merit-judged, skill-based research and publishing competition that rewards strong arguments, specific mechanisms, original thinking, and clear writing about where the Theme is headed next. It is not a raw-return contest, a Sharpe-ratio contest, a trading competition, or an offer or recommendation to buy or sell any security.

2. Sponsor

The Challenge is sponsored by Agora Indexing Technologies LLC, 333 SE 2nd Ave, Suite 2000, Miami, FL 33131, which also operates the Tilt marketplace platform on which the Challenge is administered. Agora Indexing Technologies LLC is an affiliate of Agora Intelligence Inc. (d/b/a Tilt). The Challenge is not sponsored, endorsed, administered by, or associated with any issuer, exchange, broker-dealer, social media platform, or third-party service that may be referenced in an entry.

3. Eligibility

The Challenge is open only to natural persons who, at the time of entry:

  1. Are at least 18 years old and have reached the age of majority in their state of residence.
  2. Are legal residents of one of the 50 United States or the District of Columbia and are U.S. persons for federal tax purposes (able to provide an IRS Form W-9).
  3. Are physically present in the 50 United States or the District of Columbia when they enter.
  4. Have a Tilt account in good standing.
  5. Are not prohibited from participating under applicable law or these Rules.

Employees, officers, directors, contractors, and agents of Sponsor, of Tilt and their affiliates, and of any third-party service provider involved in administering, judging, or scoring the Challenge, and members of their immediate families or households, are not eligible to receive an award. For purposes of these Rules, “immediate family” means parents, siblings, children, and spouses or domestic partners, regardless of where they live. Sponsor may permit ineligible persons to submit non-competitive entries or view entries, but those persons are not eligible for awards.

The Challenge is void where prohibited or restricted by law. Sponsor may require proof of eligibility at any time and may disqualify an entrant who does not provide requested proof.

4. Challenge Period

Submissions are scheduled to open on July 27, 2026 at 12:00 a.m. Eastern Time (“ET”) and close on August 16, 2026 at 11:59:59 p.m. ET (the “Submission Period”).

The evaluation window is scheduled to begin on August 17, 2026 at 12:00 a.m. ET and end on October 16, 2026 at 11:59:59 p.m. ET (the “Evaluation Window”).

Sponsor’s servers and systems are the official timekeeping devices for the Challenge. Sponsor may modify, suspend, or cancel the Challenge if necessary to address fraud, technical failure, legal requirements, operational issues, or other circumstances that Sponsor determines affect the integrity or administration of the Challenge.

5. How to Enter

To enter, you must:

  1. Create or log in to a Tilt account (free to create an account).
  2. Navigate to the Challenge submission page.
  3. Submit an original written Tilt addressing the Theme.
  4. Complete any eligibility, identity, or submission attestations required by Sponsor.
  5. Submit the entry during the Submission Period.

Limit one entry per person and per Tilt account. Multiple accounts, coordinated duplicate submissions, automated submissions, or other attempts to bypass the entry limit may result in disqualification of all related entries. Submitting and posting an entry in accordance with these Rules is authorized by Sponsor and Tilt notwithstanding any restriction in the Terms of Service on such content.

No entry fee is required. You do not need to open an advisory account, deposit funds, subscribe to a paid plan, connect a brokerage account, trade securities, or make any purchase to enter or be selected for the award.

6. Theme and Prompt

The Theme for this Challenge is The future of AI. Sponsor will also announce the Theme on the Challenge page at tilt.io/challenge. Sponsor may also publish a prompt, examples, or other guidance for the Theme on that page.

Entrants should explain where the Theme is headed and why it matters: what changes, who benefits, and what most people still underestimate. The strongest entries should be early, clear, and specific; have a real point of view; make an argument rather than merely describing the Theme; identify the mechanism they expect to matter; and give Tilt’s engine enough specificity to construct a paper basket that reflects the Tilt.

7. Entry Requirements

Each entry must:

  1. Be written in English.
  2. Be original to the entrant.
  3. Address the Challenge Theme.
  4. Be clear enough for Sponsor’s engine and review team to understand the entrant’s point of view.
  5. Express a view that can be implemented using equities listed on a United States national securities exchange. Generated baskets will be composed solely of US-listed equities.
  6. Be impersonal, general-circulation commentary. Entries must not contain personalized investment advice or any recommendation tailored to the circumstances of any specific person.
  7. Not contain material nonpublic information (“MNPI”).
  8. Not plagiarize, copy, or closely paraphrase another person’s work without attribution.
  9. Not violate any third-party rights, including intellectual property, privacy, publicity, or contractual rights.
  10. Not include unlawful, fraudulent, defamatory, harassing, hateful, threatening, obscene, or otherwise inappropriate content.
  11. Not include instructions, code, links, or other material intended to interfere with Tilt’s systems, scoring, or review process.

Sponsor may reject or disqualify any entry that does not comply with these Rules, is off-theme, appears to be fraudulent or abusive, includes MNPI, is plagiarized, or otherwise undermines the integrity of the Challenge.

8. No Investment Advice; Paper Baskets Only

Challenge entries, generated baskets, displayed holdings, scores, rankings, and related materials are for informational and Challenge purposes only. They are not investment advice, a recommendation, an offer to sell, or a solicitation of an offer to buy any security or other financial instrument.

Tilt does not deploy capital against Challenge entries. Each eligible entry is converted into a paper basket for evaluation. Entrants and viewers (those who view entries on the website) should not rely on Challenge materials to make investment decisions. Challenge entries and their associated baskets are not available for subscription, following, or investment during the Submission Period or the Evaluation Window. After Sponsor’s final scoring and the conclusion of the Challenge, an entry and its associated basket may be published as a standard Tilt in the Tilt marketplace under the entrant’s account, subject to Tilt’s Terms of Service and ordinary creator processes.

Any performance shown for a basket for any period before the related entry was published is hypothetical and backfilled, does not represent actual trading or actual results, and would not necessarily have been achieved. Scores, rankings, leaderboards, and displayed performance are Challenge metrics only and are not an indication of the investment merit of any entry, basket, or security. Participation in or viewing of the Challenge does not create an advisory, fiduciary, brokerage, or client relationship between any person and Sponsor.

9. Entry Review and Scoring

Sponsor will review entries for eligibility, compliance with these Rules, and scoring. Sponsor may use internal review tools, reviewer judgment, or other processes, and may correct, adjust, or override any review or scoring output.

Eligible entries will be evaluated across three equally weighted scored components to determine one (1) first-place award winner:

  1. Thesis quality.
  2. Entry timing.
  3. Contribution Score.

Unless Sponsor announces a more detailed scoring formula before submissions close, each eligible entry’s score will be the mean of those three components:

  1. Thesis quality: one third of the score. Sponsor will evaluate the quality of the written argument on an absolute scale across four categories: quality of the argument; specificity of the mechanism; originality; and clarity. Sponsor may refine or revise criteria and rubrics in its sole discretion.
  2. Entry timing: one third of the score. Sponsor will give full timing credit to entries submitted during the first five (5) days after the Theme is announced. After that grace period, timing credit will decay along the complement curve E(t) = c + (1 - c) * (1 - ((t - g) / (T - g))^q), where t is the exact submission time, T is the total Submission Period, g is the grace period, c is the floor credit, and q is the curvature. Sponsor will use g = 5 days, c = 0.3, and q = 2.5. Exact submission times are used and are not rounded to the nearest day.
  3. Contribution Score: one third of the score. Sponsor will measure the differentiated performance of each entry’s paper basket against a leave-one-out crowd basket made from the other eligible entries. Sponsor will estimate each entry’s exposure to that crowd basket over the Evaluation Window, remove the crowd-driven portion of returns, and compound the remaining beta-neutralized residual return. Sponsor will map that residual return to a 0 to 1 score using C = min(1, max(0, (r + 0.30) / 0.60)), where r is the compounded beta-neutralized residual return. A basket that matches the crowd will score around 0.5 on this component; residual performance beyond -30 percentage points or +30 percentage points will not change the Contribution Score further.

Thesis quality will be fixed based on the submitted entry. Entry timing will be fixed based on when the entry is published. Contribution Score will update during the Evaluation Window as new market return data become available. Leaderboard or entry displays may update before the Evaluation Window ends, but award determinations will be based on Sponsor’s final scoring after the Evaluation Window closes.

If two or more entries have substantially similar final scores, Sponsor may use Contribution Score, then entry timing, then thesis quality, in that order, as tie-breakers. Sponsor may disregard, adjust, or reasonably estimate data affected by market holidays, unavailable securities, corporate actions, data outages, stale data, model or scoring errors, or other technical issues. Disqualified entries will be removed from scoring and award consideration, and Sponsor may make the award to the next highest-scoring eligible entry.

Sponsor’s determinations regarding eligibility, scoring, disqualification, ranking, and winner selection are final and binding, except where prohibited by law.

10. Award

One first-place research award of USD $10,000 will be awarded.

The award is not transferable before award. It recognizes the quality and contribution of an entrant’s written Tilt as evaluated under these Rules. No actual trading occurs in connection with the Challenge, and the award does not constitute compensation for trading activities, profit-sharing, or compensation for investment advice for purposes of the Terms of Service or otherwise.

11. Winner Verification and Payment

The potential winner must satisfy all eligibility, identity, tax, and compliance requirements before receiving the award. Sponsor may require the potential winner to complete know-your-customer (“KYC”) checks, tax forms, affidavits, releases, payment setup, or other documentation. The potential winner may be required to provide an IRS Form W-9 and any other tax documentation required by applicable law. Sponsor may withhold from the award all amounts required to be withheld under applicable law, and the amount actually paid will be net of any required withholding. Sponsor may screen the potential winner against applicable sanctions and restricted-party lists and will not make any payment that would violate applicable law.

Award payment is expected to be made in cash by ACH to a verified bank account associated with the winner or otherwise approved by Sponsor. If a winner does not have a verified bank account and does not wish to open one, Sponsor will make alternate arrangements with the winner to pay the award. Sponsor may withhold or decline award payment if a potential winner does not complete required verification, is ineligible, violates these Rules, cannot be contacted, or does not respond within a reasonable time.

The winner is responsible for all federal, state, local, and other taxes, fees, and reporting obligations arising from award receipt or use. Sponsor may issue tax forms where required by law. The winner will be issued a 1099 tax form for the actual value of the award for the year in which the award was paid.

12. Winner Notification, Winner List and Publicity

Sponsor may notify the potential winner using the email address or account information associated with the entrant’s Tilt account. The potential winner will be required to complete and return, via email or an electronic link, a Declaration of Eligibility, a Release of Liability and, if legally permissible, a Publicity Release (“Declaration”) within three (3) days of Sponsor’s attempted delivery of same. If the potential winner fails to return the required document(s) within the required time period, the award notification is returned undeliverable, or the potential winner is disqualified for any reason, Sponsor will make the award to an alternate winner using the winner-determination processes outlined in these Rules. Sponsor will announce the winner on Tilt and may also announce the winner in Challenge materials or related communications. Sponsor expects to notify the potential winner and announce results within thirty (30) days after the end of the Evaluation Window, subject to completion of verification.

By entering, you consent to Sponsor and Tilt publicly displaying your name or Tilt username, profile information, entry title, entry content, and generated basket information on the Challenge pages, leaderboards, and related Challenge materials, with attribution, during and after the Challenge.

Except where prohibited by law, by accepting the award, the winner grants Sponsor permission to use the winner’s name, Tilt profile, likeness, biographical information, entry title, entry content, generated basket information, and award information in connection with the Challenge, Tilt’s services, and related promotional or retrospective materials without additional compensation.

13. Rights in Entries

You retain ownership of your entry content. By submitting an entry, you grant Sponsor and Tilt a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, publish, display, distribute, adapt, summarize, analyze, score, and otherwise use your entry and related generated materials for administering, operating, promoting, and discussing the Challenge and Tilt’s services.

You represent and warrant that you have all rights necessary to submit your entry and grant the rights described in these Rules. In the event of any conflict between this Section and the Content license provisions of the Terms of Service, this Section governs Challenge entries.

14. Disqualification

Sponsor may disqualify any entrant or entry if Sponsor determines, in its sole discretion, that the entrant or entry:

  1. Violates these Rules.
  2. Fails to satisfy eligibility or verification requirements.
  3. Does not address the Theme or depends on a view whose expected winners or losers do not turn on how the Theme plays out.
  4. Includes MNPI.
  5. Is plagiarized or not original to the entrant.
  6. Uses multiple accounts to bypass entry limits.
  7. Attempts to manipulate scoring, rankings, entry visibility, generated baskets, or Sponsor systems.
  8. Engages in trading activity intended to influence the market price of any security referenced in an entry or included in a generated basket for the purpose of affecting scoring.
  9. Uses automated, scripted, fraudulent, deceptive, abusive, or disruptive conduct.
  10. Violates applicable law or third-party rights.
  11. Acts in a manner that undermines the integrity, fairness, or reputation of the Challenge.

Disqualification may occur before, during, or after the Evaluation Window, including after a potential winner has been identified.

15. Data, Systems, and Errors

Sponsor may rely on internal systems, systems and services of its affiliates, third-party data, market data, model outputs, and other information to administer and evaluate the Challenge. Sponsor does not guarantee that any data, ranking, basket, exposure, score, display, or system output will be uninterrupted, error-free, complete, or current.

If Sponsor identifies an error, outage, data issue, scoring issue, security incident, or other operational problem, Sponsor may correct the issue, recalculate results, suspend rankings, modify the Challenge, disqualify affected entries, or take other actions Sponsor determines are appropriate.

16. Privacy

Sponsor will process personal information in accordance with its Privacy Notice. Entrants should not include sensitive personal information, confidential information, or MNPI in an entry.

17. Release and Limitation of Liability

To the maximum extent permitted by law, by entering, you release Sponsor and its affiliates, officers, directors, employees, contractors, agents, representatives, service providers, and partners from claims, losses, liabilities, damages, costs, and expenses arising out of or relating to the Challenge, participation in the Challenge, any entry, any generated basket, any ranking or score, or any award. To the maximum extent permitted by law, Sponsor’s total aggregate liability to any entrant arising out of or relating to the Challenge will not exceed the value of the highest award offered in the Challenge.

Nothing in these Rules limits any liability that cannot be limited under applicable law.

18. General Conditions

Sponsor may interpret these Rules and resolve any disputes, questions, or ambiguities relating to the Challenge in its sole discretion. Sponsor may modify, suspend, or cancel the Challenge if fraud, technical failures, legal requirements, or other factors impair the Challenge’s integrity or operation. In the event of cancellation, if any eligible entries have been received, a winner will still be determined as outlined in these Rules.

Failure by Sponsor to enforce any term of these Rules does not constitute a waiver of that term. If any provision of these Rules is held invalid or unenforceable, the remaining provisions remain in full force and effect.

19. Governing Law and Disputes

These Rules and the Challenge are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, consistent with the Terms of Service. The Governing Law and Jurisdiction, Dispute Resolution/Arbitration, Class Action Waiver, and Limitation on Time to File Claims provisions of the Terms of Service apply to any dispute arising out of or relating to the Challenge or these Rules and are incorporated into these Rules by reference.

20. Conflicts

If these Rules conflict with any Challenge FAQ, marketing copy, social post, help text, or other Challenge-related communication, these Rules control unless Sponsor expressly states otherwise in a later version of the Official Rules.
